"YARC Systems Corporation (OTC Bulletin Board: YARC) today disclosed that it has been approached by Printware Inc. (Nasdaq: PRTW) to prepare a "White Knight" merger offer."

"Discussions have been ongoing since early February. To date, the two companies have failed to agree on merger terms."

"YARC's objective is to enhance shareholder value for both YARC and Printware shareholders through a business combination. YARC believes that its LINUX software technology can significantly leverage Printware's Computer-To- Plate (CTP) hardware revenues."

"YARC has developed proprietary LINUX software that integrates Printing technologies with the Internet and Internet Browsers. YARC's proprietary version of Adobe Systems' "PostScript" Printer Description Language (PDL) is used to transfer images from a computer, over a network such as the Internet, to a printing engine."
